ARTICLES OF ASSOCATION OF THE
TEXAS STATE ATHLETIC TRAINERS’ ASSOCIATION
ARTICLE I
Name
Section 1.1 The name of the association will be the Texas State Athletic Trainers’ Association.
ARTICLE II
Purpose
Section 2.1 To own, operate, and maintain an association exclusive to the promotion, enhancement, and advancement of the athletic training profession.
Section 2.2 To do what is proper and necessary for the accomplishment of the purposes set forth in the statement of principles adopted by the founders of the association.
Section 2.3 To promote the above stated aims and purposes, to advance the interests of the membership by all legitimate means.
Section 2.4 Texas State Athletic Trainers’ Association will not carry on any activities not permitted to be carried on by a non-profit organization. No part of the net earnings of TSATA shall insure to the benefit of any private member or individual.
ARTICLE III
Membership
Section 3.1 The class of membership will be outlined in the association by-laws.
Section 3.2 All voting rights, other rights, interests and privileges of each member will be outlined in the by-laws.
Section 3.3 The rights and privileges of members, their liability for dues and assessment, and the termination and transfer of membership will be as stated in the by-laws.
Section 3.4 The annual meeting of the membership will be set by the Board of Directors.
ARTICLE IV
Governing Body
Section 4.1 The governing body of the Texas State Athletic Trainers’ Association will be a Board of Directors consisting of nine (9) members, one from each region of the state. The qualifications, the time and manner of election, the terms, and the manner of filling vacancies will be set forth in the by-laws.
Section 4.2 The Board of Directors will consist of: the Chair, Vice Chair, Secretary/Treasurer, and remaining six (6) members.
Section 4.3 The nine (9) regions will be outlined in the by-laws.
ARTICLE V
Officers
Section 5.1 The Board of Directors will select an Executive Director to serve the TSATA.
Section 5.2 Elected officers: The officers of the association will include a Chair, Vice-Chair, and Secretary-Treasurer. The officers will be elected by a vote of The Board of Directors. Other offices or officers may be established or appointed by the Chair with approval of the Board of Directors.
Section 5.3 Qualifications, time and manner of electing officers, terms of office, and the manner for removal of officers will be set forth in the by-laws.
Section 5.4 Standing committees: This association will include, but not be limited to, three standing committees: Governmental Affairs, UIL, and Public Relations.
Section 5.5 The Board of Directors may elect annually from within itself any specialized committee deemed necessary, each consisting of three (3) individuals, to conduct the business of the TSATA.
ARTICLE VI
Voting
Section 6.1 Licensed and retired members, in good standing with the association, are entitled to one (1) vote on any matter that is presented to the membership for an official decision.
Section 6.2 A quorum for voting or elections at the annual meeting will consist of members present or the number of eligible ballots submitted by mail.
Section 6.3 All voting for association matters will be conducted during the regular business meeting or by mail ballot.
Section 6.4 Mail ballots: The period of time between distribution and return of voting ballots must exceed four (4) weeks.
ARTICLES VII
Amendment to Articles
Section 7.1 Any member in good standing may submit proposed change of amendment(s) to the constitution accompanied with a list of seventy five (75) voting members’ signatures in support of the change.
Section 7.2 All proposed amendments to the constitution shall be submitted in writing to the Vice-Chair eight weeks prior to the annual meeting.
Section 7.3 Proposed amendments must pass a majority vote of the Board of Directors to be placed before the membership.
Section 7.4 The proposed amendment(s) shall be presented to the membership no less than one month before the annual business meeting.
Section 7.5 Proposed amendment(s) changes must have a majority vote of the membership present or the returned mail ballots.
Section 7.6 Approved amendment(s) changes will become a part of the constitution upon approval of the membership.
ARTICLE VIII
Amendment to the By-laws
Section 8.1 Any member in good standing may submit a proposed change to the by-law(s) accompanied by a list of thirty-five (35) voting members’ signatures.
Section 8.2 All proposed amendments to the by-laws shall be submitted in writing with rationale of change to the Vice-Chair no less than eight (8) weeks before the annual meeting.
Section 8.3 Proposed amendment(s) to the by-laws must be approved by a 2/3 vote the Board of Directors.
Section 8.4 Approved by-laws(s) changes will become a part of the by-laws upon approval of the Board of Directors.
BY-laws
ARTICLE I
Principal Office
Section 1.1 The principal office of the Texas State Athletic Trainers’ Association is located at 4436-A Packsaddle Pass, Austin, Texas 78745.
Section 1.2 The Board of Directors may at any time change the location of the principal office from one location to another within the State of Texas.
ARTICLE II
Membership
Section 2.1 The Texas State Athletic Trainers’ Association will be a voluntary membership that consists of four (4) classes.
Section 2.2 Classes of membership:
Licensed Athletic Trainer-in good standing with the Texas Department of Health Licensure Division.
- Retired Licensed Athletic Trainer -those who have retired from active practice of athletic training.
- Honorary Membership-physicians, educators.
- Associate Membership-corporations, organizations, or an allied health profession that supports the profession of athletic training.
- Student membership-enrolled in a college athletic training student program within the State of Texas.
Section 2.3 Application and selection of membership:
Licensed membership candidates will complete an application and forward it, accompanied by dues, to the Secretary-Treasurer.
- Retired membership will complete an application and forward it, accompanied by dues, to the Secretary-Treasurer.
- Honorary membership will complete an application and forward it to the Secretary-Treasurer.
- Associate membership will complete an application and forward it to the Secretary-Treasurer.
- Student candidates will complete an application and forward it to the Secretary-Treasurer.
Section 2.4 The Board of Directors will approve all memberships to the TSATA.
Section 2.5 Rights and Duties: Licensed Athletic Trainer members may attend, vote, take part in discussion, and hold office in TSATA.
- Retired members may attend, vote, and take part in discussions regarding TSATA.
- Honorary members may attend meetings and take part in discussions regarding TSATA.
- Associate members may attend meetings and take part in discussions regarding TSATA.
- Student members may attend meetings and take part in discussions regarding TSATA.
- The time and place of the meeting will be posted no less than two (2) months before the date of the meeting.
ARTICLE III
Dues
Section 3.1 Dues and fees shall be set by the Board of Directors.
Section 3.2 Dues shall be paid by all members of the Texas State Athletic Trainers’ Association with the exception of honorary and student members.
Section 3.3 Retired members of the Texas State Athletic Trainers’ Association will pay a reduced dues’ rate set by the Board of Directors.
Section 3.4 All dues become payable on July 1 for the calendar year. Dues are considered delinquent if not received by October 1 of the same calendar year. Reminder notices will be sent to the TSATA member with delinquent fees on October 1. Membership dues that remain delinquent through December of the same calendar year will be suspended.
ARTICLE IV
Suspension of Membership
Section 4.1 Members who are suspended for non-payment of dues must reapply for membership in TSATA and receive approval from the Board of Directors.
Section 4.2 TSATA membership will be revoked if at any time a member has his/her licensed revoked by the Texas Board of Athletic Trainers.
ARTICLE V
Governing Body
Section 5.1 The Texas State Athletic Trainers’ Association will be exercised, and its property controlled, by the Board of Directors consisting of nine (9) members.
Section 5.2 The State of Texas will be divided into nine (9) regions. Regions will be represented by one member elected by the membership of TSATA. (Appendix A)
Section 5.3 The Board of Directors will consist of: the Chair, Vice-Chair, the Secretary/Treasurer, and the remaining six (6) members
Section 5.4 A board member who is absent for three (3) consecutive scheduled meetings will be removed as a member of the board.
Section 5.5 The Board of Directors will have the following responsibilities:
Appoint members to such committees as may be appropriate or necessary to fulfill the purposes and objectives of the TSATA.
- Establish policies and procedures for conducting the business of the Board and the Association.
- Implement the Constitution and By-laws of the TSATA and take any action to fulfill the purpose and objectives of the association.
- Employ an Executive Director to carry out the day-to-day operation of the organization and other duties as directed by the Board of Directors.
ARTICLE VI
Officers of TSATA
Section 6.1 The Chair of the State Athletic Trainers’ Association will have the following responsibilities:
- Serve as the official spokesperson of the TSATA and the Board of Directors.
- Preside over all Executive Board meetings.
- Preside over all association meetings.
- Call all meetings of the Executive Board as deemed necessary.
- Establish, dissolve, and serve as coordinator and member of all association committees.
- Perform other duties as prescribed by the Board of Directors.
- Serve in the absence of the Chair at all official meetings.
- Fulfill the duties of the Chair in the event that this position becomes vacant before the conclusion of the term of office.
- Arrange for the publication and distribution of all the TSATA official publications.
- Oversee the process of the elections.
- Perform other duties as prescribed by the Board of Directors
- Serve as official spokesperson for the association concerning business matters.
- Serve as custodian of all records, books, and papers belonging to the association.
- Assist with the arrangements for publication and distribution of all official publications.
- Conduct the official association correspondence, including such things as membership, committee memberships, etc.
- Maintain a current and accurate mailing list and an official membership list.
- Perform other duties as prescribed by the Board of Directors.
Section 6.4 All officers of the TSATA will be elected by the Board of Directors and will serve a two (2) year term. Officers may not serve more than two (2) consecutive terms in the same office. Upon appointment due to a resignation, an officer may serve two (2) full consecutive terms.
ARTICLE VII
Vacancy in Office
Section 7.1 An officer may resign voluntarily at any time by notifying the Board of Directors. Such resignation shall take effect at the time the member designates.
Section 7.2 An officer may be automatically removed from office if one of the following occurs:
- Moves from the region from which he/she was elected to serve.
- Ceases to be a licensed member in good standing with the Texas State Athletic Trainers’ Association.
- Ceases to work as an athletic trainer in any capacity.
- A Regional Director may be removed from office by the presentation of a signed petition containing fifty percent (50%) of the region’s members. The petition will be given to the Executive Director and/or the Chair of the Board to be presented to the Board of Directors. Removal will occur with a two third (2/3) majority vote of all mail ballots returned from the region.
Section 7.3 Vacancies other than advancement shall be filled by a nomination of the Chair with a majority vote of the Board of Directors. If the Chair were to resign or be removed for any reason, the Vice Chair would take over all duties of the Chair.
ARTICLE VIII
Elections
Section 8.1 Elections will be held by region each year. The board member will serve a three (3) year term. The regions will be divided by:
- Region 1, Region 4, Region 7
- Region 2, Region 5, Region 8
- Region 3, Region 6, Region 9
Section 8.2 Voting members of the TSATA may submit in writing to the Vice Chair one nomination by region for the election process.
Section 8.3 The Vice Chair will submit all nominations to an independent party to conduct a mail vote. The ballots will be distributed and tabulated by the independent party. Tabulation may not occur in less than four (4) weeks of the postmark date on the ballot.
Section 8.4 In the event an individual is not nominated from a region, the Board of Directors will select by majority vote an individual presented by the Chair to serve the term of regional director.
Section 8.5 Voting members may vote for one nominee in the region in which they reside.
Section 8.6 The Executive Board will develop a policy and procedures manual for the election process within the guidelines of the constitution and the by-laws.
Article IX
Governed
Section 9.1 The rules contained in the current edition of the Robert’s Rules of Order Newly Revised Tenth Edition shall govern the TSATA in all cases to which they are applicable and in which they are not inconsistent with the TSATA Constitution on any special rule (s) of order the TSATA may adopt
